Abstract
Implementation Of A Franchise Agreement Between The Franchiser And The Franchisee At Purbalingga Rocket Chicken Dean Rendiana Nandolesta, Susilo Wardani, S.H. ABSTRACT The Government Regulation Number 42 of 2007 on Franchise Article 1 states that franchise is a special right owned by an individual or a business entity toward a business system having a special business characteristic of marketing goods and/or services which have been proven successful and can be utilized and/or used by other parties based on the franchise agreement. Moreover, Article 3 affirms that one of the franchise criteria is the registered intellectual property rights involving the property rights of the brand, copyright, patent, and trade secrets which have been registered and certificated or are being registered to the authorized agency. The franchiser of a franchise business will commonly determine the raw material for production, such as spices which have to be taken from certain suppliers or from the franchiser itself. This is intended to maintain the same product standard for all the franchisees. However, a problem of raw material's late delivery to the franchisee often arises. This delay can greatly disturb the performance of the franchisee's production process. The research objective is to analyse the implementation of the franchise agreement between the franchiser and the franchisee at Purbalingga Rocket Chicken. The research method is a normative juridical, an approach conducted based on the main legal materials by reviewing theories, concepts, legal principles, and the regulation related to the research as well as interviewing the interviewees as the supplementary data. The research result indicates that the implementation of the franchise agreement at Purbalingga Rocket Chicken has been in accordance with the regulation, the Government Regulation Number 42 of 2007 on Franchise and Article 1313 of the Civil Code. It can be seen that the agreement aspects, the agreement terms, and the agreement elements have been all appropriate and suitable. The franchiser has registered the franchise offering prospectus before making the agreement with the franchisee from another authorized party, and the franchisee has also fulfilled its obligation for registering the franchise agreement. This is in accordance with Article 10 and 11. Moreover, other documents have also met the requirements, such as the copy of franchise offering prospectus, the copy of business legality, the copy of the resident card, and they have been submitted to the Minister and has been valid for 5 years.
